Terms of Service

1. Acceptance of Terms

By accessing or using the FleetPulse platform (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms apply to all users, including vessel operators, crew members, shore-side managers, and administrators.

2. Service Description

FleetPulse is a cloud-based and offline-capable planned maintenance system (PMS) designed for maritime fleet management. The Service includes work order management, equipment tracking, running hours logging, spare parts inventory, inspection readiness tools, crew management, emissions tracking (EU ETS/MRV/CII), photo evidence capture, and ship-shore data synchronization. FleetPulse is provided as a Software-as-a-Service (SaaS) platform.

3. User Accounts

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Each account is tied to a company (tenant). Company administrators can create additional user accounts and assign roles (admin, superintendent, crew). You must notify us immediately if you suspect unauthorized access to your account.

4. Subscription and Billing

FleetPulse offers four subscription tiers: Free (1 vessel, 2 users, basic features), Pro (1–5 vessels at $189/vessel/month, or $159/vessel/month billed annually), Fleet (6–24 vessels at $159/vessel/month, or $139/vessel/month billed annually), and Enterprise (25+ vessels, custom quote and contract). Paid plans include the features shown on the pricing page for the selected tier. Subscriptions are billed monthly or annually in advance. You may upgrade or downgrade your plan at any time; changes take effect at the next billing cycle. If payment fails, we may suspend access to paid features after a 7-day grace period. No refunds are provided for partial billing periods.

5. Data Ownership

You retain full ownership of all data you upload, create, or generate within FleetPulse, including but not limited to equipment records, work orders, maintenance history, running hours logs, spare parts inventory, crew records, emissions data, and photo evidence. FleetPulse does not claim any ownership rights over your data. We process your data solely to provide and improve the Service. You may export your data at any time in standard formats (Excel, PDF). Upon account termination, you will have 90 days to export your data before it is permanently deleted.

6. Acceptable Use

You agree to use the Service only for lawful purposes related to maritime fleet management and maintenance. You may not: (a) use the Service to store or transmit malicious code; (b) attempt to gain unauthorized access to other users' accounts or data; (c) reverse-engineer, decompile, or disassemble any part of the Service; (d) resell or sublicense access to the Service without our written consent; (e) use the Service in a manner that could impair the Service's performance or interfere with other users; (f) upload intentionally false maintenance or compliance records.

7. Offline Data and Synchronization

FleetPulse is designed to operate offline on vessels with limited or no internet connectivity. Data created or modified offline is stored locally on the device and synchronized with our servers when a connection is available. While we take all reasonable measures to ensure data integrity during synchronization, you acknowledge that network interruptions, device failures, or software conflicts may occasionally result in sync delays or conflicts. In the event of conflicting edits, the most recent change (by timestamp) will take precedence. We recommend regular syncs when connectivity is available to minimize the risk of data conflicts.

8. Maritime Compliance Disclaimer

FleetPulse is designed to assist vessel operators with planned maintenance, record-keeping, and inspection readiness in accordance with the ISM Code and relevant maritime regulations. However, FleetPulse is a tool and does not guarantee compliance with the ISM Code, SOLAS, MARPOL, EU ETS, MRV, CII, or any other regulatory framework. The responsibility for maritime compliance rests solely with the vessel operator, designated person ashore (DPA), and the company's safety management system. FleetPulse does not provide legal, regulatory, or classification society advice. Always consult qualified maritime professionals and your classification society for compliance matters.

9. Data Retention

Maritime regulations (including the ISM Code and various flag state requirements) typically require maintenance records to be retained for a minimum of 5 years. FleetPulse retains your operational data for the duration of your subscription and for at least 5 years following the last recorded activity to help you meet these regulatory requirements. You may request earlier deletion of your data, but we will notify you if such deletion may conflict with maritime record-keeping obligations. Backup copies may be retained for up to 90 days after deletion for disaster recovery purposes.

10. Termination

You may terminate your account at any time by contacting support or through your account settings. We may terminate or suspend your account if you violate these Terms, fail to pay subscription fees, or if we are required to do so by law. Upon termination, you will have 90 days to export your data. After this period, your data will be permanently deleted, subject to the maritime data retention requirements described in Section 9.

11. Limitation of Liability

To the maximum extent permitted by applicable law, FleetPulse and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total aggregate liability for all claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim. This limitation applies regardless of whether the claim is based on contract, tort, strict liability, or any other legal theory. Nothing in these Terms excludes liability for death, personal injury caused by negligence, or fraud.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union and the Republic of Estonia, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Tallinn, Estonia. For users in other jurisdictions, you may also have rights under your local consumer protection laws that cannot be waived by contract.

13. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of material changes by email and by posting a notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated terms. If you do not agree with the changes, you may terminate your account before they take effect.
